To use the Platform, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Use the Platform in compliance with these Terms and applicable laws

You may be required to create an account to access certain features:

• Businesses must provide accurate company information and designate authorized users
• Reviewers may create personal accounts or submit reviews using email or social logins

You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

Buyerprove reserves the right to suspend or terminate accounts for violations of these Terms.

You agree not to use Buyerprove to:

• Post false, misleading, or defamatory reviews
• Infringe on the intellectual property rights of others
• Violate any applicable law or regulation
• Exploit, scrape, or reverse engineer the platform
• Interfere with the security or functionality of the Platform

Reviews and ratings submitted to the Platform must reflect honest and lawful feedback.

By posting a review, you:

• Grant Buyerprove a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, display, and distribute your content
• Represent that you are the original author and that the content is accurate and not misleading
• Acknowledge that Buyerprove may moderate, publish, unpublish, or remove reviews that violate our guidelines

Buyerprove is not responsible for the accuracy or reliability of user-generated content.

If you are using the Platform on behalf of a business:

• You agree to use the Platform only for lawful, commercial purposes
• Subscriptions, if applicable, are billed as agreed in your plan and renew automatically unless canceled
• Buyerprove may suspend or limit access for nonpayment or misuse

All business users must comply with applicable consumer protection and data privacy laws, including the GDPR and CCPA, when requesting or managing customer reviews.

All intellectual property on the Platform—excluding user-submitted reviews—is owned by Buyerprove or its licensors, including:

• Software
• Logos
• Text and design
• Trademarks and brand elements

You may not reproduce, modify, or distribute our intellectual property without written permission.

• Buyerprove provides the Platform "as is" and "as available"
• We do not guarantee that the Platform will be error-free, secure, or uninterrupted
• We are not liable for the conduct or content of users, or the accuracy of reviews

To the fullest extent permitted by law, Buyerprove LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, revenue, or profits
• Any content or conduct of other users or third parties

Our total liability in any dispute shall not exceed the amount paid (if any) by you to use the Platform in the 12 months preceding the claim.

You agree to indemnify and hold harmless Buyerprove, its officers, employees, and affiliates from any claims, damages, losses, or legal fees resulting from:

• Your violation of these Terms
• Content you submit or actions you take using the Platform
• Your infringement of any third-party rights

Our collection and use of your personal information is governed by our Privacy Policy, which complies with the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA/CPRA).

You are responsible for reviewing our Privacy Policy and understanding your rights and obligations.

We may suspend or terminate your access to the Platform at any time:

• For violating these Terms
• For failure to pay (if applicable)
• If required by law or court order

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws.

Disputes shall be resolved in the courts of Delaware, unless otherwise required by law. If you are a resident of the EU or UK, you may have rights under your local jurisdiction for consumer protection.

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting. We will notify users of material changes via email or on the Platform.

Continued use of the Platform after such changes constitutes your agreement to the revised Terms.
